TERMS & CONDITIONS

1. The auction is managed on auctioncause.com by Auction Cause, a premier celebrity and brand auction management agency.

2. Auction Cause is performing a charity auction and providing management services on behalf of and at direction of the selling party, Entertainment Industry Foundation (EIF), and as such is not responsible for any errors or omissions or for any warranties or guarantees either explicit or implied herein.

3. We reserve the right to reject any bids at our discretion and screen all bidders. No part of the text, design, photos, video, or other content from this auction or associated pages may be used without written permission of the appropriate license holders.

4. This auction listing may be subject to prequalified bidders only – this is a security verification measure, given the high profile nature of this auction. The seller reserves the right to reject requests to bid or cancel already approved bids at its sole discretion and conduct further screening of bidders, including requesting additional documentation on the ability to make payment, as well as request a deposit via PayPal or credit card before being allowed to bid/continue bidding. If the bidder making the deposit is not the winning bidder, the deposit will be refunded in the same manner as provided within (2) business days.

5. Winning bidder will pay EIF directly via credit card, bank wire transfer, or cashier’s check. A bid is a legally binding contract. Please do not bid if you are not 100% certain you can follow through with payment at the winning bid price promptly.

6. A deposit in the amount of $1,000 is due within (24) hours of the auction close with full payment required within (3) days of the auction close. Failure to deliver payment within the designated time will result in default of the bid and we may select the next highest bidder.

7. EIF will receive 100% of the winning bid on this vehicle. The winning bidder or their designee will receive, in exchange for payment of the full bid price to EIF, the vehicle described herein, under the terms described herein. The portion of the winning bid which exceeds the manufacturer’s suggested retail price (MSRP) of the vehicle and other products and services provided will be considered a contribution to EIF and may be deductible under the provisions in the United States Internal Revenue Code Section 170. Bidders are advised to check with their tax advisor. Winner may receive a letter of acknowledgment stating that EIF has received the bidder’s funds and in return the winner has received the vehicle described herein. All bids are binding.

8. All bids are in US dollars.

9. Vehicle being auctioned is a new 2011 Kia Optima SX. The MSRP (Manufacturer’s Suggested Retail Price) is $28,840. The winning bidder is responsible for all taxes, title, registration, license fees, and insurance for the vehicle. These fees will depend on the city and state of the winning bidder, and as such, these costs are unknown to EIF and all other related parties.

10. The vehicle will be shipped to a designated authorized U.S. Kia dealer for pick up at no cost to the winning bidder. The winning bidder will need to provide proof of insurance and proper identification to the authorized Kia dealership when picking up the vehicle.

11. Vehicle will be delivered with less than 25 miles on odometer; actual mileage is not available at this time.

12. The winning bidder or their designee will take delivery of the vehicle through an authorized U.S. Kia dealer. Although Kia will attempt to accommodate the recipient’s choice of dealer, Kia reserves the right to deliver the vehicle to the dealer acceptable to Kia.

13. The winning bidder or their designee is responsible for their own transportation to and from the delivery site.

14. Subject to unanticipated delivery delays or constraints, or other factors beyond the control of Kia, this vehicle will be made available for delivery within 60 days from date of final payment.

15. Vehicle will be titled in the name of the winning bidder or their designee.

16. Eligible bidders must be at least 21 years of age, a licensed driver, and a legal resident of the United States.

17. This vehicle is certified for and eligible for sale and registration in the contiguous United States only, including the District of Columbia (excludes Hawaii and Alaska).

18. Only the vehicle described above will be donated. No substitutions or other options are available.

19. Your participation in this auction constitutes acceptance of these terms and conditions.

20. Blake Griffin, EIF, Kia Motors America, Inc., AutoTrader.com, Inc., the National Basketball Association and its respective parents, subsidiaries and affiliated companies (the “Entities”) shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience, or irregularity arising out of or relating to any donated item sold under this auction, even if caused by the negligence of the Entities; except that the terms of Kia’s liability to the winners of the vehicle will be governed by the express limited warranties set forth in the vehicle’s applicable Owner’s Guide.

21. Neither the Entities nor their respective employees, agents, advertising company or contractors provide any warranties or guarantees, express or implied, as to the genuineness, authenticity or accuracy of condition, or defect, if any, of the vehicle to be auctioned and will not be held responsible for discrepancies or inaccuracies in item descriptions provided, however, Kia shall be solely responsible for any warranty specifically set forth in the applicable Owner’s Guide for the vehicle.
